House amendment to the 2nd edition makes the following changes.
Amends proposed GS 57D-3-02 by amending a special economic interest owner’s entitlement to standing to seek judicial dissolution in the operating agreement when the described events result in a person ceasing to be a member of the LLC, by making an exception for when the entitlement to standing has been expressly waived in the operating agreement. Makes additional organizational and clarifying changes.
